Terms of Engagement & Operating Baseline

Transparent operational, financial, and legal guardrails governing all Simply Start advisory and principal consulting engagements.

1. Principal Non-Delegation Guarantee

All strategic advisory and embedded execution is performed directly by our Principals—Shayne Vacher-Moffeit (Technical Architecture) and Jennifer Moffeit-Vacher (Operations).

Zero Delegation Drop-Off: We do not assign junior associates, account managers, or offshore sub-contractors to client accounts.
Direct Access: Client leads maintain direct, real-time access to Principal leadership for all key decisions and reviews.

2. Intellectual Property (IP) & Work Product Ownership

Clients retain complete ownership of all work produced during an engagement.

Full Assignment: Upon payment of invoices, 100% of custom code, landing-zone scripts, process documentation, runbooks, and async handoff frameworks created by Simply Start Transformation belong exclusively to the client.
No Proprietary Lock-In: We build directly within your existing technology stack (GCP, HubSpot, Smartsheet, Notion) to ensure your internal teams maintain complete, independent control.

3. Data Governance, Security & Confidentiality

All engagements are governed by strict confidentiality and data protection standards prior to account onboarding.

Mutual NDA: Standard mNDA execution is required prior to reviewing codebases, operational metrics, or architecture diagrams.
Policy Compliance: Access to client environments strictly adheres to enterprise access control and data handling protocols.
Zero Residual Storage: We do not store, ingest into public LLMs, or retain client production data, secrets, or source code on external servers following engagement offboarding.

4. Engagement Models & Billing Structure

We operate as a US-registered corporate entity with standard enterprise procurement practices.

Contract Structures: Engagements are structured either as fixed-scope Statements of Work (SOW) with defined milestone deliverables or as monthly fixed-fee Principal retainers.
Invoicing Terms: Standard billing via electronic ACH or Wire transfer on Net-15 or Net-30 terms, aligned with your corporate procurement requirements.
No Hidden Overages: All engagement scopes include explicit deliverables and boundaries, eliminating unexpected hourly overages.

5. Unit Scope & Engagement Boundaries

To guarantee zero delegation drop-off and maximum shipping velocity, engagement scopes are strictly bounded.

Target Unit Size: Limited to independent engineering and ops units or dedicated enterprise pods of 10 to 50 people.
Governance Axis: Focus is restricted to technical architecture, CI/CD pipelines, async handoff design, and operational process governance.

6. Offboarding & Institutional Autonomy

Our goal is to build long-term internal capability, not permanent vendor reliance.

Documented Handoffs: Every engagement concludes with structured async video walkthroughs, updated architectural runbooks, and team briefings.
Self-Sustaining Operations: Operational workflows and deployment guardrails are designed for immediate, autonomous execution by your internal team leads.
